AIR TRANSAT/AIR CANADA TERMINATION OF ACQUISITION AGREEMENT

Dear Brothers and Sisters,

Air Canada and Air Transat have been in negotiations over the terms of an acquisition deal for nearly two
years, which was approved by the Canadian government earlier this year. The deal was awaiting approval
by the European Commission (EC), with the deadline of June 30th, 2021.

Shortly before making public statements, the International Association of Machinists Aerospace Workers
(IAMAW) was advised that the two companies mutually agreed to terminate negotiations and not move
forward with the acquisition. We later learned that Air Canada made concessions to meet EC’s requests,
which ultimately were not enough for the deal to be approved.

Throughout this process, we have kept a close watch on developments as we have members working for
both airlines, and any decision could impact our membership, and we will continue to do so. Our members’
well-being and job security are the highest priority, and we will take all necessary steps to protect our
membership.
In light of the government’s statement that it will prioritize protecting jobs and ensuring the air transportation
sector is competitive and viable, the IAMAW will continue our lobbying efforts to secure an aid package for
the industry. We are placing a high priority on lobbying, which now more than ever is essential. With this
acquisition deal now terminated, many new questions have arisen, and we are working to gain information
and a deeper understanding of what the future holds.

As expected with such announcements, there are more questions than answers at this time and the IAMAW
will be monitoring this matter carefully. As more information becomes available, it will be promptly
communicated through our websites and communication channels. The IAMAW will also work with locals
and representatives. In addition, the IAMAW will continue advocating on behalf for our members in all our
lobby efforts with the government, ensuring that any steps taken by the government include an account for
workers’ interests.
